Tata v Tata: A Century-Old Partnership Under Strain

Tata v Tata: A Century-Old Partnership Under Strain

For more than a hundred years the Tata Group has run on an arrangement that few large companies share. Family-linked charitable trusts own 66% of Tata Sons, the holding company at the top, and Tata Sons owns the stakes in TCS, Tata Motors, Tata Steel and the rest of the group. Ratan Tata chaired both Tata Sons and Tata Trusts and remained a bridge between the two. After he died in 2024, a widening schism gradually became apparent.

The break came on 17 September. The Tata Sons board reappointed Chairman N. Chandrasekaran in a 4-to-1 vote over the objection of Noel Tata, the Trusts’ nominee on the board and chairman of Tata Trusts. The board also agreed to proceed with a possible public listing, and most directors, including the Shapoorji Pallonji (SP) Group, backed both moves. Noel Tata, the half-brother of Ratan Tata, opposes both and argues that a listing would dilute the group’s philanthropic ethos.

Three disputes run through the dispute, and they are tangled together. One is over Chandrasekaran’s reappointment, one over whether the holding company should list, and one over the decision-making power of one of the principal trusts. Settling one will not settle the others.

The chairman

Chandrasekaran had said he would not seek another term after February 2027, but the board asked him to reconsider in the group’s larger interests, and he agreed. Noel Tata calls the reappointment illegal under the articles of association, arguing that both Trusts nominees were required to vote in coordination, whereas only he voted against and Venu Srinivasan, the other nominee, voted in favour. Tata Sons’ counsel, Harish Salve, argues the board acted within governance rules and that the Trusts cannot assume ownership automatically means control. A company lawyer told Al Jazeera that split votes between the two nominees do not by themselves create a legal deadlock. Abhishek Singhvi, for the Trusts, warns that nullifying shareholder-owners’ rights would be a blow to corporate governance across hundreds of companies.

The listing

Listing is the deeper issue, and it has a regulatory trigger. The Reserve Bank of India requires large non-bank financial companies above a size threshold to list publicly. Tata Sons tried to avoid this by deregistering as a non-bank finance company, but the RBI rejected the request days before the September board meeting. Noel Tata reads the RBI letter more narrowly, arguing it does not say listing is the only possible route. Chandrasekaran, by contrast, told Noel Tata at a recent meeting that listing was mandated by RBI rules.

The other force is money. The Shapoorji Pallonji Group holds 18.4% of Tata Sons, is deep in debt, and wants to monetise its stake, which a listing would allow. Noel Tata’s counter-proposal is to offer SP ₹25,000 crore through partial monetisation of its stake, keeping Tata Sons private. The family tangle runs deep, since Shapoor Mistry, the SP patriarch, is Noel Tata’s brother-in-law.

Where things stand now

The newest development is a failed truce. Chandrasekaran and Noel Tata held a secret meeting on 25 October, arranged by veteran Tata executive N.A. Soonawala, that ended without a resolution. The next day, Noel Tata wrote a letter questioning the procedures followed for approving Chandrasekaran’s reappointment, including voting requirements and possible conflicts of interest. Several clocks are running: the AGM deadline has been extended to 31 December, a Charity Commissioner hearing on Mehli Mistry’s objections was set for 15 October, and Chandrasekaran’s current term ends on 20 February 2027. The 18 August AGM failed to meet quorum and was adjourned, the first time that has happened in Tata Sons’ history.

The row has also reached national politics. Congress leader Rahul Gandhi accused the government of allowing the Tata Group to be criminally destroyed, and Finance Minister Nirmala Sitharaman rejected the charge, accusing him of spreading distrust toward Indian businesses. The government has also been involved behind the scenes, as top Tata Sons and Tata Trusts representatives met Home Minister Amit Shah and Sitharaman at Shah’s residence.

What a Tata Sons listing would change

Much of this is still open, since nothing has been decided and the courts or the RBI could reshape it. Based on how listings work and what the parties argue, several shifts are likely.

The first is transparency. Tata Sons currently sits atop listed companies worth about $277 billion in combined market capitalisation without being subject to public-market scrutiny itself. A listing would bring quarterly results, independent directors and disclosure of how it allocates capital, which governance advisers like InGovern say is expected of a holding company with influence over businesses of such scale.

The second is valuation. A listed Tata Sons would carry a market price, and with it the familiar conglomerate discount. Listed subsidiaries and holding companies in India often trade at a 20–50% discount, according to Jefferies. The same debate played out around Reliance and Jio.

The third is ownership and control. Even a small float would put outside shareholders on the register, and the special rights that let Trusts-nominated directors block key decisions would have to be squared with listing rules. The Supreme Court upheld those rights in the Cyrus Mistry case in 2021, but whether they survive in a listed company is a question the sides have yet to answer publicly. For the Trusts, which fund philanthropy from Tata dividends, any dilution or loss of control strikes at their mission. Their argument is that the private structure has let the group act in ways a purely commercial calculus would not have supported.

The fourth is the exit. SP gets a liquid market for its 18.4%, which would ease its debt problem. The alternative buyback route would cost Tata Sons ₹25,000 crore or more and keep the structure intact.

Jio’s debut offers a preview of what the market does with a landmark listing. A rally gave Reliance the top spot among conglomerates, and a Tata Sons listing would be larger and more closely watched. But a successful IPO would not resolve who runs the group, and it would not answer whether a charity-controlled holding company can survive in public markets without losing the character the Trusts want to protect. That question now sits with the courts, the RBI and two chairmen who have so far failed to agree.
